The author explains that companies integrate by duplication external standards to minimize the risk of sanctions, developing a « culture of compliance », which produces their competitiveness increase and the effectiveness of the legal and economic system. In addition, it reduces the cost of investment, which increases the attractiveness of the company. In this, this presentation based on the postulate of the rationality of companies and investors, compliance programs can fall under self-regulation. (ed.),Compliance Monumental Goals, series "Compliance & Regulation", Journal of Regulation & Compliance (JoRC) et Bruylant, à paraître. - ► Article Summary:  Before devoting the developments of his article to the sole perspective of sanctions imposed under « Anti-corruption Compliance », the author recalls in a more general way that, as is the sanction, Compliance is in essence proportional: Proportionality is inherent to Compliance as it conditions any sanction, including a sanction imposed under Compliance. This link between Proportionality and Compliance has been underlined by the French Anti-Corruption Agency (Agence française anticorruption – AFA) with regard to risk mapping, which must measure risks to arrive at effective and proportional measures. This same spirit of proportionality animates the recommendations of the AFA which are intended to apply according to the size of the company and its concrete organisation. It governs sanctions even more, in that punitive sanctions refer on one hand to Criminal Law, centered on the requirement of proportionality. ►Référence complète : Delalieux, G., La loi sur le devoir de vigilance des sociétés multinationales : parcours d’une loi improbable, Droit et Société, 2020/3, n°106, pp. 649-665. - ►Résumé de l'article (fait par l'auteur) :  Cet article propose une analyse des obstacles rencontrés par les défenseurs de la proposition de loi sur le devoir de vigilance (ONG et syndicats) en étudiant les efforts de plaidoyer et de lobbying déployés par ces derniers afin de réussir à faire déposer, examiner puis adopter cette loi dont le Gouvernement ne voulait pas initialement. À l’aune de ce cas, le concept d’entrepreneur institutionnel est discuté puis relativisé par utilisation de la notion de fortuna, développée par Machiavel, afin de décrire le passage « improbable » de cette loi. Les résultats tendent ainsi à relativiser l’importance que des acteurs singuliers, y compris collectifs, peuvent avoir dans l’explication du changement institutionnel, au profit d’une analyse multi-niveaux du changement (micro, méso, macro). - Syndicats.  Summary Corporate Duty of Vigilance in France: The Path of an Improbable Statute This article offers an analysis of the resistance encountered by defenders (NGOs and trade unions) of the French Law on Corporate Duty of Vigilance. These actors sought to behave as institutional entrepreneurs deploying intense advocacy and lobbying efforts in order to successfully have this bill tabled, examined, and ultimately passed by the French government. In light of this case, the concept of “institutional entrepreneurship” is discussed and then relativized by the use of Machiavelli’s notion of “Fortuna,” in order to describe the “improbable” adoption of this statute. The results tend to put into perspective the importance that individual actors, including collective ones, can have in the explanation of institutional change, in favor of a multilevel analysis of change (micro, meso, macro). 📝 Le juge administratif et le dérèglement climatique

Libres propos, AJDA, 2022, p. 147 et s. -   ► Résumé de l'article par l'auteur : C'est essentiellement depuis la signature de l'accord de Paris que les juges – pas seulement en France – ont été invités par diverses requêtes à prendre leur part dans la lutte contre le dérèglement climatique. Le risque de tels contentieux est qu'ils n'aient qu'une dimension incantatoire, qu'ils ne permettent que de décerner des bons ou des mauvais points à la politique climatique d'un gouvernement, ce qui n'est pas la conception que le juge administratif français se fait de son office. Si de tels contentieux ne sauraient à l'évidence constituer la solution unique à la crise climatique, le juge a bien son rôle à jouer.

La figure moderne de l’amicus curiae a créé une concurrence entre un intérêt public tel qu’il est conçu par les entités privées avec l’intérêt public tel qu’il est défendu par les organes gouvernementaux. Cela a conduit le juge constitutionnel américain à objectiver les données comprises dans les mémoires des personnes privées dans son interprétation de la Constitution par des méthodes d’appropriation des interprétations concurrentes. Cette appropriation met donc fin à la conception monopolistique de défense de l’intérêt public par les organes gouvernementaux et érige les entités privées comme des experts factuels des questions constitutionnelles. The author develops the spirit and scope of Protocol 15 by which both the principle of subsidiarity and the margins of appreciation the signatory States are organized, mechanisms governed by the principle of proportionality. Subsidiarity means that the States are in the best position to design the most adequate application of the Convention, the close links between the States allowing its effective application. In addition, the new opinion procedure which allows a national court to have during a case the non-binding opinion of the ECHR ensures better compliance with the objectives of the Convention. The case-law of the Court takes up this substantial requirement through its doctrine, in particular identified in the Bosphorus case, by stressing that the accession of a State to the European Union presumes its compliance when implementing EU law with the obligations arising from the ECHR, even if this presumption can be refuted if the protection is manifestly lacking, which was admitted in several cases, in particular concerning the right to an impartial tribunal in matters of economic regulation. The different legal orders are thus articulated.  The author concludes that the European Court of Human Rights, like the Court of Justice of the Union, contributes to the construction of Compliance Law in Europe, from an Ex Ante perspective favoring opinions rather than Ex Post sanctions and creating, in particular through the Bosphorus doctrine, elements of security and confidence for European integration around common values. - 🦉Cet article est accessible en texte intégral pour les personnes inscrites aux enseignements de la Professeure Marie-Anne Frison-Roche -

"Compliance & Regulation", à paraître.  - 📘consulter une présentation générale de l'ouvrage, Compliance Jurisdictionalisation, dans lequel cet article est publié - ► Résumé de l'article (fait par le Journal of Regulation & Compliance) : The French legal system is evolving, organizing interaction between lawyers with regulators and prosecutors, specially in investigations about corruption or corporate misconduct, adopting U.S. negotiated resolutions such as the Convention judiciaire d'intérêt public, which encourages « collaboration » between them.  The author describes the evolution of the U.S. DOJ doctrine and askes French to be inspired by the U.S. procedural experience, U.S. where this mechanism came from. Indeed, the DOJ released memoranda about what the « collaboration » means. At the end (2006 Memorandum), the DOJ has considered that the legal privilege must remain intact when the information is not only factual in order to maintain trust between prosecutors, regulators and lawyers. French authorities do not follow this way.
