L'on peut aussi définir cette branche par un cœur normatif : les « buts monumentaux ». Ceux-ci permettent de rendre compte du droit positif nouveau, rendu ainsi plus clair, accessible et anticipable. Ils reposent sur un pari, celui du souci de l'autre que les êtres humains peuvent avoir en commun, forme d'universalité.  Par les Buts Monumentaux, apparaît une définition du Droit de la Compliance qui est nouvelle, originale et spécifique.  Ce terme nouveau de « Compliance » désigne en effet une ambition nouvelle : que ne se renouvelle pas à l'avenir une catastrophe systémique. Ce But Monumental a été dessiné par l'Histoire, ce qui lui donne une dimension différente aux États-Unis et en Europe. Mais le cœur est commun en Occident, car il s'agit toujours de détecter et de prévenir ce qui pourrait produire une catastrophe systémique future, ce qui relève de « buts monumentaux négatifs », voire d'agir pour que l'avenir soit différent positivement (« buts monumentaux positifs »), l'ensemble s'articulant dans la notion de « souci d'autrui », les Buts Monumentaux unifiant ainsi le Droit de la Compliance.  En cela, ils révèlent et renforcent la nature toujours systémique du Droit de la compliance, comme gestion des risques systémiques et prolongement du Droit de la Régulation, en dehors de tout secteur, ce qui rend disponibles des solutions pour les espaces non-sectoriels, notamment l'espace numérique. Parce que vouloir empêcher le futur (faire qu'un mal n'advienne pas ; faire qu'un bien advienne) est par nature politique. Le Droit de la Compliance concrétise par nature des ambitions de nature politique, notamment dans ses buts monumentaux positifs, notamment l'égalité effectif entre les êtres humains, y compris les êtres humains géographiquement lointains ou futurs.  Les conséquences pratiques de cette définition du Droit de la Compliance par les Buts Monumentaux sont immenses. A contrario, cela permet d'éviter les excès d'un « droit de la conformité » visant à l'effectivité de toutes les réglementations applicables, perspective très dangereuse. Cela permet de sélectionner les outils efficaces au regard de ces buts, de saisir l'esprit de la matière sans être enfermé dans son flot de lettres. Cela conduit à ne pas dissocier la puissance requise des entreprises et la supervision permanente que les autorités publiques doivent exercer sur celles-ci.  L'on peut donc attendre beaucoup d'une telle définition du Droit de la Compliance par ses Buts Monumentaux. Elle engendre une alliance entre le Politique, légitime à édicter les Buts Monumentaux, et les opérateurs cruciaux, en position de les concrétiser et désignés parce qu'aptes à le faire. Elle permet de dégager des solutions juridiques globales pour des difficultés systémiques globales a priori insurmontables, notamment en matière climatique et pour la protection effective des personnes dans le monde désormais numérique où nous vivons. Elle exprime des valeurs pouvant réunir les êtres humains. En cela, le Droit de la Compliance construit sur les Buts Monumentaux constitue aussi un pari. Alors que la culture de conformité au droit des pratiques anticoncurrentielles était insuffisante à contrer la flambée des prix des gels hydroalcooliques et masques, impliquant le recours à des outils à l’opposé de la compliance (règlementation des prix et réquisition), des mécanismes s’en inspirant ont été mis en place pour traiter d’autres problématiques liées à la disponibilité des biens de première nécessité en période de crise sanitaire. Reste à savoir si ces dispositifs doivent, pour l’avenir, inspirer la rédaction de véritables normes de compliance. -

Si hors période de crise a été établie la nécessité de maintenir un lien étroit entre normes publiques et compliance pour, la réalisation de ces « buts monumentaux », la validité de l’analyse doit être vérifiée en temps de crise. En effet, pour sortir au plus vite de la période troublée, il est tentant de s’en remettre avant tout aux autorités publiques. Doit alors être envisagée, à l’aune de la crise sanitaire, la possibilité que le lien entre normes publiques et compliance soit altéré en temps de crise. Non seulement la réaction normative des autorités publiques au cours de cette période s’avère très intense mais en outre, certaines caractéristiques de la compliance pourraient conduire à douter qu’elle soit de toute façon un outil pertinent dans un contexte d’urgence et d’instabilité. À l’étude néanmoins, pour concrétiser les buts monumentaux, il apparaît nécessaire de maintenir le lien entre normes publiques et compliance. Ce lien a d’ailleurs été préservé, même au plus fort de la crise sanitaire, et il doit sans doute l’être aussi au-delà, car sa rupture présente des risques qui ne sont pas propres à cette crise. Autrement dit, la compliance, en dépit de ses insuffisances, ne perd sans doute pas ses atouts en temps de crise.   -

This link between Proportionality and Compliance has been underlined by the French Anti-Corruption Agency (Agence française anticorruption – AFA) with regard to risk mapping, which must measure risks to arrive at effective and proportional measures. This same spirit of proportionality animates the recommendations of the AFA which are intended to apply according to the size of the company and its concrete organisation. The author develops the spirit and scope of Protocol 15 by which both the principle of subsidiarity and the margins of appreciation the signatory States are organized, mechanisms governed by the principle of proportionality. Subsidiarity means that the States are in the best position to design the most adequate application of the Convention, the close links between the States allowing its effective application. In addition, the new opinion procedure which allows a national court to have during a case the non-binding opinion of the ECHR ensures better compliance with the objectives of the Convention. The case-law of the Court takes up this substantial requirement through its doctrine, in particular identified in the Bosphorus case, by stressing that the accession of a State to the European Union presumes its compliance when implementing EU law with the obligations arising from the ECHR, even if this presumption can be refuted if the protection is manifestly lacking, which was admitted in several cases, in particular concerning the right to an impartial tribunal in matters of economic regulation. At first glance, compliance is a technique internalised in companies and the place occupied by negotiated justice techniques leave little room for intervention by the judge ruling only on points of Law However, his role is intended to develop, in particular with regard to the duty of vigilance or in the articulation between the different branches of Law when compliance meets Labor Law, or even in the adjustment between American Law and the other legal systems, especially French legal system. The way in which the principle of Proportionality will take place in Compliance Law is also a major issue for the judge ruling only on points of Law. -

"Régulations & Compliance", Journal of Regulation & Compliance (JoRC) et Dalloz, 2022, pp. 413-436. - 📝lire l'article - 🚧lire le document de travail bilingue sur la base duquel cet article a été élaboré, doté de développements supplémentaires, de références techniques et de liens hypertextes - 📕consulter une présentation générale de l'ouvrage, Les Buts Monumentaux de la Compliance, dans lequel cet article est publié - ► Résumé de l'article (fait par le Journal of Regulation & Compliance) : Si l'on reprend techniquement les outils juridiques de Compliance et qu'on les confronte au souci que le Droit doit avoir de la  Compétitivité des entreprises, il faut que ces instruments juridiques n'y nuisent pas parce que le Droit de la Compliance, en raison de ses ambitions immenses, ne peut fonctionner que par une alliance entre des volontés politiques aux grandes prétentions (sauver la planète) et les entités qui sont aptes à concrétiser celles-ci (les opérateurs économiques cruciaux) : la volonté politique puisant dans la puissance des entreprises, il serait contradictoire que les instruments juridiques mis en place par le Droit nuisent à l'aptitude des entreprises à affronter la compétition économique mondiale, ou pire favorisent des compétiteurs internationaux relevant de système juridiques n'intégrant pas ses instruments du Droit de la Compliance.   À partir de ce principe, l'on peut porter une appréciation sur ces deux techniques que sont le lancement d'alerte et l'obligation de vigilance : les deux consistent à capter de l'information, ce qui leur donne une forte unicité et les insère dans la compétition mondiale pour l'information. Si l'on prend tout d'abord le lancement d'alerte, il apparaît que le premier bénéficiaire de celui-ci est l'entreprise elle-même puisqu'elle découvre une faiblesse et peut donc y remédier. C'est pourquoi qu'au-delà du principe de protection du lanceur d'alerte par l'accès de celui-ci au statut légal conçu par la loi dite « Sapin 2 », il est critiquable que toutes les incitations ne sont pas mises en place pour que le titulaire d'une telle information la transmette au manager et que la loi, même après la transposition de la directive européenne de 2019, continuera d'exiger l'absence de contrepartie, la figure "héroïque du lanceur d'alerte et le refus de sa rémunération privant l'entreprise d'un moyen d'information et d'amélioration.  Mais la législation française a au contraire développé la bonne incitation quant à la personne à laquelle l'information est transmise car en obligeant à transmettre d'abord au manager, la transmission externe intervenant si celui-ci ne fait rien, l'incitation est ainsi faite au responsable interne d'agir et de mettre fin au dysfonctionnement, ce qui accroît la compétitivité de l'entreprise.  Plus encore et même si cela paraît contre-intuitif, l'obligation de vigilance accroît fortement la compétitivité des entreprises qui y sont soumises. En effet la Loi en les obligeant à prévenir et à lutter contre les atteintes aux droits humains et à l'environnement leur a tacitement donnés tous les pouvoirs nécessaires pour le faire, notamment le pouvoir de capter des informations sur des entreprises tierces, y compris (voire surtout) celles qui ne sont pas soumises à des obligations de transparence. En cela, les entreprises, en tant qu'elles sont à ce titre responsables personnellement, détiennent un pouvoir de supervision sur d'autres, pouvoir qui permet de mondialisation le Droit de la Compliance et qui, au passage, accroît leur propre puissance. 📝 Definition of Proportionality and Definition of Compliance Law, in 🕴️ M.-A. Frison-Roche (ed.), 📘Compliance Monumental Goals

And returning to the very nature of Compliance Law, which relies on operators, private or public, because they are powerful, then using proportionality to limite powers is detrimental to Compliance Law.  However, nothing requires that. Compliance Law is not an exception that should be limited. On the contrary, it is a branch of Law which carries the greatest principles, aimed at protecting human beings and whose Normativity lies in its « Monumental Goals »: detecting and preventing future major systemic crisis (financial, health and climate ones). However, literally the principle of Proportionality is: « no more powers than necessary, as many powers as necessary ». The second part of the sentence is independent of the first: this must be used. Politics having fixed these Monumental Goals, the entity, in particular the company, must have, even tacitly, « all the necessary powers » to achieve them. For example, the power of vigilance, the power of audit, the power over third parties. Because they are necessary to fulfill the obligations that these « crucial operators » must perform as they are « in a position » to do so. So instead of limiting the powers, the Principe of Proportionality comes to support the powers, to legitimize them and to increase them, so that we have a chance that our future is not catastrophic, perhaps better. To ensure their compliance with these obligations, the Sapin 2 law created the Agence française anticorruption – AFA (French Anti-Corruption Agency), which had been assigned three missions: firstly, to help any person prevent and detect corruption; secondly, to control the quality and effectiveness of the anti-corruption programs deployed by the companies; and thirdly, to sanction any breaches, through its Sanctions Committee. As pointed out by the French Conseil d’État, the powers devolved to the administrations have multiplied and became stratified. While the Conseil d'État suggests to improve both the conduct and the effectiveness of administrative controls by harmonising their practices and simplifying their prerogatives, it is urgent to remedy the numerous procedural failures that undermine the rights of defence. In fact, the AFA exercises various powers when undertaking its controls. Some of these powers are not provided for by the Law, and most of them infringe fundamental rights and freedoms among which the adversarial principle and the freedom not to self-incriminate. For instance, the AFA does not necessarily draft minutes of the interviews it conducts, thus depriving the interviewee of the possibility to challenge the statements reported by the AFA to the Sanctions Committee. From a more structural point of view, the scope of the AFA's mission is extremely broad. The Law allows the AFA to request the communication of "any professional document or any useful information", without defining the notion of usefulness. Also, the AFA considers that the entity cannot benefit from the legal privilege that would cover their documents, and considers that an entity who voluntarily hands over a document, without expressing any reserves, waives its right to the benefit of its legal privilege. Apart from the severe consequences that could arise if another proceedings was to be initiated by a foreign authority, the concept of « voluntary handover » does not faithfully reflect the reality. Indeed, the controlled entities only cooperate under the threat of being prosecuted on the basis of an obstruction to the control, which compels them to communicate documents even when facing the risk of contributing to their own incrimination. In order to achieve these objectives, the full spectrum of norms are used in compliance matters. What is and what should be the role of the judges of the European Union in the development of compliance rules ? As in domestic law, the legality of compliance standards developed by regulatory authorities has been challenged. It will first be necessary to analyse what control the judges of the European Union have over these rules. The question arises essentially as regards the rules of soft law, the challenge of which can be considered in two ways : by way of an action for annulment and by exception by way of a preliminary ruling. But beyond the control of the legality of compliance rules exercised by European judges, they also contribute to their application. The effectiveness of compliance rules depend above all on them being followed by those to whom they are addressed, and economic operators are undoubtedly the first actors of its success. But the innovation that constitutes this emerging branch of law that is Compliance Law justifies going to more fundamental. From this perspective, the pertinent question is the very legitimacy of procedural principles in this branch of law, in that Procedural Law is built on the notion of “Litigation” while Compliance Law deals with situation so enormous, concerning for example the fate of the planet, that this notion of litigation appears inadequate, and consequently the procedural law would be too limited in compliance matters. If, however, this perspective is maintained of Compliance Law facing, in an almost warlike perspective, the greatest current challenges, general Procedural Law needs to be redesigned, in its very definition. Indeed, compliance trials call into question the future of systems and it is as such that they hold the entities, for instance the enterprises, that are at the heart of these systems. The answer is given by the non bis in idem principle, which is the subject of a abondant case law on the basis of Article 4 of Protocol n°7 of the ECHR, clearly inapplicable for jurisdictions emanating from different States. To assess whether breaches of compliance obligations may be subject to multiple sanctions in different states, it will first be necessary to ascertain whether there is a textual basis to be invoked. At European level, Article 50 of the Charter of Fundamental Rights now allows the principle of ne bis in idem to be invoked. Applicable to all areas of compliance, it provides very strong protection which covers not only sanctions, but also prosecutions. Like its effects, the scope of Article 50 is very broad. The procedures concerned are those which have a repressive nature, beyond those pronounced by criminal courts in the strict sense, which makes it possible to cover the convictions pronounced by one of the many regulatory authorities competent in matters of compliance. Internationally, the situation is less clear. Article 14-7 of the International Covenant on Civil and Political Rights may be invoked, if several obstacles are overcome, including the decision of 2 November 1987 of the Human Rights Committee which restricted it to the internal framework, requiring a double conviction by the same State. Even if these principles are applicable, two specificities of compliance situations risk hampering their application, the first related to the applicable procedural rules, in particular the rules of jurisdiction, the second related to the specificities of the situation. The application of the non bis in idem rule is only formally accepted with regard to universal jurisdiction and personal jurisdiction, that is to say extraterritorial jurisdiction, which is only part of the jurisdiction. . The Cour de cassation (French Judiciary Supreme Court) confirmed this in the famous so-called “Oil for food” judgment of March 14, 2018. The refusal to recognize this principle as universal, regardless of the jurisdiction rule in question, deprives French companies of a defense. Moreover, the repression of breaches of compliance rules is more and more often resolved through transactional mechanisms. The latter will not always fall within the scope of European and international rules laying down the non bis in idem principle, for lack of being sometimes qualified as « final judgment » under the terms of Article 50 of the Charter of Fundamental Rights of the European Union and Article 14-7 of the International Covenant on Civil and Political Rights. Breaches in terms of compliance are often based on multiple acts. This results from prescriptions the starting point of which is delayed at the last event and a facilitated jurisdiction for French courts when only one of the constitutive facts is found in France. In terms of compliance, the non bis in idem principle therefore generally does not protect companies and does not prevent them from being sued before the courts of two different countries for the same case. It nevertheless grants them another protection by obliging them to take into account foreign decisions in determining the amount of the penalty. The sanction against Airbus SE in the Judicial Convention of Public Interest (CJIP) of January 29, 2020 is a perfect illustration of this. Breaches in terms of compliance are often based on multiple acts. This causes delays in the starting point of prescriptions, starting point delayed at the last event, and this facilitates judicial jurisdiction for French courts when only one of the constitutive facts is found in France. In terms of compliance, the non bis in idem principle therefore generally does not protect companies and does not prevent them from being sued before the courts of two different countries for the same case. It nevertheless grants them another protection by obliging them to take into account foreign decisions in determining the amount of the penalty.
