However, this is not so evident. Moreover, it is becoming difficult to find a unity to the set of compliance tools, encompassing what refers to a moral representation of the world, or even to the cultures specific to each company, Compliance Law only having to produce incentives or translate this ethical movement. The obligation of compliance is therefore difficult to define. This difficulty to define affecting the obligation of compliance reflects the uncertainty that still affects Compliance Law in which this obligation develops. Indeed, if we were to limit this branch of law to the obligation to « be conform » with the applicable regulations, the obligation would then be located more in these « regulations », the classical branches of Law which are Contract Law and Tort Law organising « Obligations » paradoxically remaining distant from it. In practice, however, it is on the one hand Liability actions that give life to legal requirements, while companies make themselves responsible through commitments, often unilateral, while contracts multiply, the articulation between legal requirements and corporate and contractual organisations ultimately creating a new way of « governing » not only companies but also what is external to them, so that the Monumental Goals, that Compliance Law substantially aims at, are achieved.  The various Compliance Tools illustrate this spectrum of the Compliance Obligation which varies in its intensity and takes many forms, either as an extension of the classic legal instruments, as in the field of information, or in a more novel way through specific instruments, such as whistleblowing or vigilance. The contract, in that it is by nature an Ex-Ante instrument and not very constrained by borders, can then appear as a natural instrument in the compliance system, as is the Judge who is the guarantor of the proper execution of Contract and Tort laws. The relationship between companies, stakeholders and political authorities is thus renewed. - 🏗️general construction of the book The book opens with a substantial Introduction, putting the different sort of obligations of compliance in legal categories for showing that companies must build structures of compliance (obligation of result) and act to contribute with states and stakeholders to reach Monumental Goals (obligation of means).  The first part is devoted to the definition of the Compliance Obligation.  The second part presents the articulation of Compliance obligation with the other branchs of Law, because the specific obligation is built by Compliance Law, as new substantial branch of Law but also by many other branchs of Law. The third part develops the pratical means established to obtained the Compliance Obligation to be effective, efficace and efficient. "Régulations & Compliance", 2025, pp. 313-323. - 📕lire une présentation générale de l'ouvrage, L'Obligation de Compliance, dans lequel cet article est publié - ► Résumé de l'article (fait par le Journal of Regulation & Compliance – JoRC) : Désignant à première vue l'intersection de la Compliance et des procédures collective comme le « mariage de la carpe et du lapin », l'auteur montre que la logique en est sur de nombreux points communs, notamment par l'office qu'y exerce le Juge, car il s'agit toujours d'une délégation que l'Etat fait de Buts Monumentaux, les procédures collectives venant concrétiser la volonté de sauver une entreprise, des emplois, une industrie, une région, etc., dans ce qui est toujours un « intérêt public ».  Dans son office, le Juge des procédures collectives est confronté à des clauses de compliance, portant sur des engagements ou des informations ou organisant des monitorings.  L'auteur examine tout d'abord les cas dans lesquels le Juge des procédures collectives confronte le principe de primauté des procédures collectives sur cette organisation de compliance, soit au titre des contrats en cours, qui peuvent contenir des obligations de compliance notamment parce que les audits et les contrôles auront été renforcés ou qu'une résiliation automatique serait prévue (qui serait alors désactivée ?), soit parce que s'abattent les nullités de la période suspecte, parce que les clauses de compliance sont souvent déséquilibrées. Puis dans une seconde partie, est examinée l'hypothèse dans laquelle les techniques de compliance vont venir en soutien des procédures collectives elles-mêmes et du But que celles-ci servent. En effet, parce qu'ils sont par nature préventifs, les mécanismes contractuels de compliance peuvent aussi prévenir les défaillances, par des clauses d'audit et de monitoring et la mise en place de reporting, au besoin sous le suivi du Juge associé à des mécanisme de conciliation. Plus encore, il faut les utiliser pour restructurer les entreprises en difficulté. Le plan, qui peut être imposé aux créanciers, doit ouvrir la palette des instruments, pourrait peut-être viser cette  classe de parties qui ne serait constituée que des créanciers bénéficiant de clauses de compliance, si l'on considère qu'ils constituent une « communauté d'intérêt économique suffisante ». Ils pourraient alors eux-aussi avoir une délégation de surveillance sur la survie de l'entreprise, but monumental du plan. Dans le cas d'un plan de cession, une offre comprenant des engagements de compliance ne devrait pas être privilégiée puisque la loi expressément ne donne à ce plan pour but que d'assurer le maintien d'activités et d'apurer le passe. Frison-Roche (dir.), Le nouveau droit des entreprises en difficulté,  Dalloz, coll. « Thèmes et commentaires », 1995. - 📝lire la contribution de Marie-Anne Frison-Roche :  La cohérence juridique de la réforme du droit des procédures collectives. - ► Présentation de l'ouvrage : La loi du 10 juin 1994 réformant la loi du 25 janvier 1985 relative à la prévention et au traitement des difficultés des entreprises constituait une nouveauté. Le juriste ne pouvait que se poser des questions devant la nouveauté, voire l'étrangeté d'un texte encore vierge de toute explication, malgré la parution du décret du 21 octobre 1994. Le livre propose une somme de réflexions suscitées par une réforme d'autant plus cruciale qu'elle soulevait de nombreuses difficultés d'interprétation et d'application. Pour cela, la réforme a été replacée dans son contexte juridique et économique, afin d'en mesurer la difficile cohérence. Puis, la prévention des difficultés a été analysée dans son déroulement amiable, technique spécifique au regard du droit commun, par exemple en ce qui concerne l'office du juge ou le droit des obligations. Enfin les modifications substantielles du régime des procédures collectives soulèvent des difficultés telles que la revendication ou le sort des créanciers munis de sûretés.
