Frison-Roche, "Compliance Law and Systemic Litigation", 15 September 2025, Madrid. - This speech is the opening speech of the event. 🧮 See the general program of the event - 📅See the slides (not used), basis for this speechs - ► Summary of the conference: This  manifestation, made fo many interventions, is about the role and the evolution of the in-house lawyers in the Europe on the move. I opened the event by focusing on the importance of the Compliance which drives the companies now, in the future and for the future. It is quite difficile because currently Compliance Law is quite misunderstund by almost every. Therefore the first part of my intervention has been the explanation of what is the very new branch of Law, built of political Monumental Goals (Compliance Law is not just the obligation to be conform with, just to obey), the specificity of European Compliance Monumental Goals (not only the sustainability of systems, but also the concern for present and future human beins implied in them).  This systemic new branch of Law, humanist branch of Law in Europe put the Judge at its center. Par translation, this is creating a new sort of Litigation : the Compliance Systemic Litigation. Its object is the future (as Compliance Law itselft). This develops its own logic, which is essentially technological in nature. It generates computing power based on the correlation of information to produce possible causalities and build probabilities that are sometimes likened to "predictions", with the mass processed eventually generating a qualitative change. This change is linked to the digital space itself, which by its very nature gives rise to systemic disputes and litigation, to which the conference-debate on 27 May 2024 was devoted. There are three ways in which this Emerging Systemic Litigation is involved, and it is important to anticipate these, as the litigation is either in its infancy or still to come, but will undoubtedly arise suddenly. Firstly, it is possible that the technological tool will make it possible to deal with certain cases where the technical nature of either the concepts or the requests, or the multitude of requests, however simple, require this ability to deal with the mass, which leads to an increase in both the mechanical power of algorithms and the greater presence of human beings, in particular through the increase in adversarial proceedings, pre-trial proceedings, mediation, etc. Secondly, in the face of this change linked to the digital environment, 'texts' have appeared to 'regulate' the use or the very invention of this or that algorithmic tool, texts of a very diverse nature, from the most soft to the hardest (this gradation between soft and hard law is the theme taken up in the conference-debate of 19 September 2024). These may be measures taken by the firms that produce the tools, those that use them, or those that disseminate them, with the people affected by the information being relatively active. This last point explains why systemic disputes are already underway, concerning the subjective rights that would be violated either by the very nature of artificial intelligence, in this case the rights of content producers, or the rights to privacy, or protection of other Monumental Goals. The systemic and extra-territorial dimension of these disputes has already been established. The third point is the role of Politics, since the European Union, through the texts currently being adopted, has established that the Goal is not only the sustainability of the technical system, the innovation market and European sovereignty, but also the primacy of people and individuals, through a method that is the Ex Ante ranking of risks. This conception is also contested. This methodological issue also applies to judges. (From Regulation to Compliance, what role for the judge ?) - 🚧read the bilingual Working Paper which is the basis of this article, with additional developments, technical references and hyperlinks - ► Presentation of this concluding article: It is remarkable to note the unity of conception and practice between professionals who tend to work in administrative jurisdictions and professionals who tend to work in judicial jurisdictions: they all note, in similar terms, an essential movement: what Regulatory Law is, how it has been transformed into Compliance Law, and how in one and even more so in the other the Judge is at the centre of it. Judges, as well as Regulators and European officials, explain this and use different examples to illustrate the far-reaching changes it brings to the Law and to the companies responsible for increasing the systemic effectiveness of the rules through the practice and dissemination of a Culture of Compliance. The role of the judge participating in this Ex Ante transformation is renewed, whether he/she is a judge of Public Law or a judge of Private Law, in a greater unity of the legal system. - ► English Summary of this article: The tug-of-war between 'Compliance' and 'conformity', which is exhausting us, obscures what is essential, i.e. the great novelty of a branch of law that assumes a humanist vision expressing the ambition to shape the future so that it is not catastrophic (preventing systems from collapsing), or even better (protecting human beings in these systems). The article begins by describing the emergence of Compliance Law, as an extension of Regulatory Law and going beyond it. This new branch of law takes account of our new world, brings its benefits and seeks to counter these systemic dangers so that human beings could be their beneficiaries and are not crushed by them. This branch of Ex Ante Law is therefore political, often supported by public Authorities, such as Regulatory Authorities, but today it goes beyond sectors, as shown by its cutting edge, the Obligation of Vigilance. The "Monumental Goals" in which Compliance Law is normatively anchored imply a teleological interpretation, leading to an "empowerment" of the crucial operators, not only States but also companies, responsible for the effectiveness of the many new Compliance Tools. The article goes on to show that Judges are increasingly central to Compliance Law. Lawsuits are designed to make companies more accountable. In this transformation, the role of the judge is also to remain the guardian of the Rule of Law, both in the protection of the rights of the defence and in the protection of secrets. Efficiency is not what defines Compliance, which should not be reduced to a pure and simple method of efficiency, which would lead to being an instrument of dictatorship. In view of the multitude of players who are now established there, the Autorité de régulation de la communication audiovisuelle et numérique – Arcom (French Audiovisual and Digital Regulatory High Council) must ensure the economic balance of the sector and the respect for pluralism, in the interest of all audiences. The growing societal responsibilities of audiovisual media and new digital players have multiplied the "monumental goals" on which the Arcom) is watching. Its competences have gradually been extended to the digital space and the successive laws concerning its missions aim at new objectives, in particular in terms of protection of minors, fight against online hate or against disinformation. The emergence of a new European model of Regulation makes it possible to give substance to these additional goals, the Regulator adopting a systemic perspective and calling on soft law tools to fulfill its new missions. -

Companies can do this because they are in a position to do so, in that they are well located to act, have the information, the technology and the adequate financial means.) Compliance is a construction tool, and not, as it is still sometimes presented, a means to limit the ability of those who are concretely able to build, i.e. the companies. The architect remains and must remain the Politics. But the company remains the master of the means to achieve these goals, and free to duplicate them in its own care, via CSR, "raison d'être" and ethics.

📧Regarding Compliance: Observations on the first steps of the European Public Prosecutor and her conception of the EPPO’s Action: on Health, Infrastructures and Agriculture

► It is in its "Risk and Compliance" section that the Wall Street Journal, by its article of June 18, 2021 (➡️📝Europe's Chief Prosecutor Has 300 Cases on Her Plate Already), presents the first steps of the European Public Prosecutor’s Office, since June 1, 2021. This inclusion presupposes that it is through a Compliance Law perspective that this new body must be understood, in order to understand and anticipate its action. ►In this perspective : ➡️📧Frison-Roche, M.-A., European Public Prosecutor's Office comes on stage: the company having itself become a private prosecutor, are we going towards an alliance of all prosecutors?, June 2, 2021 ➡️ 💬Frison-Roche, « Le parquet européen est un apport considérable au Droit de la Compliance » (“The European Public Prosecutor's Office is a remarkable contribution to Compliance Law"), June 14, 2021   I. AN ACTION THAT WILL FOCUS ON FIGHTING THE MEANS USED TO DAMAGE THE FINANCIAL INTERESTS OF THE EUROPEAN UNION The article of the Wall Street Journal takes the form of an interview with the European Prosecutor. Her responses also confirm the consubstantial link between European Public Prosecutor's Office and Compliance Law. It is remarkable that she immediately says that she hopes the treatment of many cases, especially on healthcare and infrastructure sectors: "Our expectation is to have more cases, especially in the healthcare system, in public procurement, infrastructure, and also in agriculture ". However, the 2017 European Regulation which established the European Public Prosecutor’s Office said that its "mandate" is to prosecute offenses affecting the "financial interests of the European Union", without being hampered by the cumbersome procedures for cooperation between States while these offenses are most often cross-border. But one could think that, knowingly taking the means (corruption, money laundering) for the goal, the European Public Prosecutor's Office would immediately pursue not only the defense of the financial interests of the Union (admittedly financial interests damaged by corruption or money laundering) but these facts themselves: thus the European Public Prosecutor's Office works with the European Supervisory Authorities, in particular banking and financial authorities, which fight in Ex Ante against these offenses and prevent them.   II. AN ACTION THAT FOCUSES ON SECTORS NOT LEGALLY REGULATED IN EX ANTE BY SECTORAL REGULATORY AUTHORITIES Moreover, it will be noted that the European Prosecutor is targeting three economic sectors which are not "regulated sectors" in the legal sense of the qualification, that is to say not monitored by a sectoral Regulatory and/or Supervision Authority: Health, Infrastructure and Agriculture. Thus, the power of Regulatory Law, which relies in its Ex Ante, and its weakness, which derives from the pre-required existence of a sectoral Authority, is compensated: the action of the Public Prosecutor's Office is not limited to legally regulated sectors. While Competition Authorities are mandated (➡️📅La concurrence dans tous ses états, June 25 and 26, 2021) to protect the competitive functioning of the markets, a Public Prosecutor's Office can deal with any infringement without having to determine a market. For instance, Infrastructures don't constitute pertinent markets but can constitute fields for criminal activities, such as corruption or money laundering, justifying Compliance Law mechanisms.  What the new European Prosecutor is aiming for, namely Health, Infrastructures and Agriculture, have undoubtedly been damaged both by the sole primacy of the Competition perspective and by a Criminal Law constrained by the difficult inter-State cooperation, even though they are not subject to a supranational Ex Ante Regulation.
